This Store and Delivery Partner Agreement (the “Agreement”) is entered into between the STORE/Pharmacy, located as mentioned in the details provided (referred to as the “Store”), and Medstown Private Limited, located at 5th Floor, HDFC Bank Building, 8-2-681/A/1/A, Road No.12, Banjara Hills, Film Nagar, Hyderabad, Telangana, India 500034 (referred to as the “Delivery Partner”). Together, the Store and the Delivery Partner are referred to as the “Parties.”
Purpose:
The purpose of this Agreement is to establish the terms and conditions under which the Store engages the Delivery Partner for delivery services.
Services:
2.1 The Store appoints the Delivery Partner as a non-exclusive delivery service provider for the Store’s products.
2.2 The Delivery Partner agrees to provide reliable and efficient delivery services to the Store’s customers, in accordance with the specifications and requirements provided by the Store.
Delivery Standards:
3.1 The Delivery Partner shall ensure that all deliveries are made within the agreed-upon timeframes.
3.2 The Delivery Partner shall handle the Store’s products with care and ensure that they are delivered in good condition.
3.3 The Delivery Partner shall comply with all applicable laws, regulations, and industry standards related to delivery services.
Compensation:
4.1 The Store shall pay the Delivery Partner based on the agreement % on each invoice of the order delivered, based on the agreed-upon compensation structure outlined.
4.2 The compensation shall be calculated based on the number of deliveries completed by the Delivery Partner in a given 48-72 hours, as verified by the Store’s records and transferred to the Store/Pharmacy bank account.
Relationship of Parties:
5.1 The Parties acknowledge and agree that the Delivery Partner is an independent company and not an employee, agent, or partner of the Store.
5.2 The Delivery Partner shall be solely responsible for all expenses, including but not limited to fuel, vehicle maintenance, insurance, and taxes, incurred while providing the delivery services.
Term and Termination:
6.1 This Agreement shall commence on the effective date and continue until terminated by either Party with 1 month written notice.
6.2 Either Party may terminate this Agreement immediately in the event of a material breach by the other Party.
6.3 Upon termination, the Delivery Partner shall promptly return any materials or equipment provided by the Store.
Confidentiality:
7.1 Both Parties shall maintain the confidentiality of any confidential information disclosed during the course of this Agreement.
7.2 Confidential information includes, but is not limited to, customer data, business strategies, pricing information, and trade secrets.
Governing Law and Dispute Resolution:
8.1 This Agreement shall be governed by and construed in accordance with the laws of Telangana, India.
8.2 Any disputes arising out of or in connection with this Agreement shall be resolved through good-faith negotiations between the Parties.
8.3 If the dispute cannot be resolved through negotiations, the Parties agree to submit to the exclusive jurisdiction of the courts of Telangana, India.
Entire Agreement: This Agreement, including any attached schedules, constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter herein.
